Reminder: Board Meeting Requirements for HOA’s

Every once in a while we will get a new board member or an owner who would like to run a Homeowners Association board meeting a little differently, as in “this is how we did it up north”, kind of thinking. This article will be a quick review of HOA Board Meeting requirements:

1. Notice of all regular Board of Directors meetings should be noticed and posted somewhere on the property at least 48 hours in advance.

2. Board Meetings where an assessment will be considered must be noticed by not less than 14 days. There are alternate notice methods that can be used if the documents so provide and in those associations with more than 100 members. 3. Notice of Meetings should include a date, time, place and an agenda of matters to be considered at the meeting.

4. Members have the right to attend all Board of Directors meetings. The one exception to this is when the Board is meeting with the Association’s attorney to discuss any proposed or ongoing litigation.

5. Chapter 720 allows unit owners to speak on an agenda item, if 20% of the unit owners petition the Board to speak. The unit owners would have the right to speak up to 3 minutes on each matter that is successfully petitioned. The association may also adopt reasonable rules regarding unit owner participation that would expand these rules.

6. A Board Meeting occurs whenever a quorum of the Board meets to conduct Association business.

7. Directors may not vote by secret ballot on any matter, except when they are electing officers.

8. Minutes of all meetings must be kept and be available for inspection.

9. Any vote or abstention should be recorded for each individual Director.

10. The foregoing rules also will apply to any committees whereby they have the power to expend funds on the association’s behalf or when a committee has the right to approve or disapprove any architectural decisions.
